Rouge board
The problem now is that we have a set o falsely accepted and approved by-laws that are giving board members undue power and control over the members. So much so that gotten in the wrong hands will be a Hugh liability to the membership.
According to the law, Current board is unelected and has no power to vote or make any decisions except one.
That is the power to arrange a legally held and election.
That’s it! nothing more. Because the board has to have sufficient backing from the membership in the form of proxy votes in order to collect money or make decisions. The idea that the board is limiting voting and proxies is just like cutting off their own hand. They need every vote and proxy they can get, the more the better because they need every vote in order to reach the legal requirements and it shows support for the board’s actions.
So, the current board fell into that category when board members quit and only one elected member and one appointee were left. Not a legal board!
The problem I’m having is that this person who is running the whole show including secretary, accountant, and treasure, doing and writing everything that is coming from the board and saying its “from the board” when it’s not. This person has stated to me that they will not be challenged, and any disputes must be directed to your attorney.
This is completely wrong in all its forms. The board should be willing to resolve any and all problems, especially ones they create. They do this to keep us out of court.
I personally have had to dispute 7 or more illegal actions by the board against me.
I prevailed in 3 of them but got no response from the board or their attorney for the rest and are still unresolved.
Here is her email stating that she won’t be challenged and instead you must take it up with an attorney.
“Letters or emails sent to the Board do not constitute a legal dispute and do not obligate the Board to issue any further responses. Any formal legal challenge you wish to pursue must be submitted through your legal counsel and directed to the Association’s attorney at your own expense. The Association will seek recovery of all legal fees incurred in responding to any unfounded or unsupported claims”.
