Dear Friends and Fellow Members,
I am writing this not from a place of conflict, but from a deep love and commitment to the future of our association, KGE. We all share a common goal: to see this community thrive fairly and successfully.
Recently, concerns have arisen regarding the legality and compliance of certain governing documents or decisions. Addressing this together is vital to safeguard everything we have built.
Here are the key points we must constructively review:
- Bylaw Compliance: Some of our current bylaws and written procedures do not fully comply with KGE governing documents and external governing laws (e.g., state or federal requirements), potentially creating future liabilities and putting the entire association at risk. A complaint has been filed with the board stating the laws and conflicts with the poorly written and unlawfully adopted KGE Revised By-Laws. (Included in this mailing.) - Board Actions: Certain recent actions or resolutions taken by the Board may have operated outside the scope of our legally established authority or our own governing documents.
- Need for Review: We need immediate, respectful, and transparent collaboration from all members to review our documents and past actions, ensuring everything is sound and legally robust. So far the board has been mute and noncompliant, resisting all lawful impute, avoiding accountability on any questioning.
This is not about assigning blame; it is about protecting our association and ensuring every member is treated fairly and according to the law. We must demand transparency.
I humbly ask that we approach this necessary review process with unity and open hearts, focusing solely on the collective good. Our strength is in our membership, and together, we can secure a clear, compliant, and prosperous future.
The bottom line here is, do you want by-laws that give undue power and control over members to the board without the members consent, as the new Revised By-Laws do.
OR, do you want By- Laws intended to serve the members and keep the board under control. As originally written, that’s what the 1975 KGE governing documents promote.
I would think that as a member you would choose the latter.
